Specific deliverables, timelines, and fees will be outlined in individual client agreements or proposals.

3. Client Responsibilities

Clients agree to:

  • Provide accurate information and necessary access to accounts

  • Supply brand assets, approvals, and feedback in a timely manner

  • Comply with platform advertising policies and applicable laws

Delays in communication or approvals may affect project timelines.

4. Payments & Fees

All fees, payment schedules, and billing terms will be detailed in signed agreements.

Unless otherwise stated:

  • Payments are due according to the agreed schedule

  • Late payments may result in paused services

  • Fees are non-refundable once services have commenced

Advertising budgets are separate from management fees unless specified.

5. Intellectual Property

Upon full payment:

  • Clients retain ownership of final approved deliverables

  • Kenzie Social retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing

Any preliminary concepts or unused materials remain the property of Kenzie Social unless purchased separately.

6. Performance Disclaimer

While we implement strategic, data-driven marketing practices, we do not guarantee specific results, rankings, or revenue outcomes. Marketing performance may vary based on industry, competition, market conditions, and external platform changes.

7. Third-Party Platforms

Our services may involve third-party platforms such as Google, Meta, TikTok, email service providers, and analytics tools. We are not responsible for:

  • Platform outages

  • Policy changes

  • Account suspensions resulting from violations of platform rules

Clients remain responsible for compliance with third-party terms.

8. Limitation of Liability

To the fullest extent permitted by law, Kenzie Social shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits or business interruption

  • Issues arising from third-party platforms or services

Our total liability shall not exceed the amount paid for services in the preceding 30 days.

9. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business information shared during the course of engagement.

10. Termination

Either party may terminate services according to the terms outlined in the signed agreement. Outstanding fees for completed work remain payable upon termination.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of the website or services constitutes acceptance of any revisions.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction in which Kenzie Social operates.
